Robert is a Partner in the corporate and projects team at Engoru Mutebi Advocates. He has previously worked with leading firms in Kampala.

Robert specializes in corporate mergers and acquisitions, private equity, mining, energy and natural resources, projects and infrastructure and general corporate commercial and regulatory advisory. He has highly commendable skills and a wealth of experience in both local and multi-jurisdictional mergers and acquisitions cutting across sectors like telecom, insurance, banking, mining and energy.

He routinely handles legal due diligences, advises on corporate transactional structuring, negotiates local and cross border transactional agreements, commercial operational agreements, in addition to having an impressive knowledge of the local regulatory framework for advice on compliance issues, licensing regimes, and issues affecting local and foreign investors.

EXPERIENCE

  • Advised Total E & P Uganda BV on the regulatory and permit requirements relevant to the entire upstream project within the Albertine region in Uganda.
  • Advised China Petroleum Technology and Development Corporation a wholly owned subsidiary of China National Petroleum Corporation on the regulatory processes and local content requirements with respect to the operations in Uganda.
  • Acting together with International Counsel, advised Access Corporate and CEG Finance led consortium on the entire tender process with respect to the development of the crude export pipeline from Hoima to Tanga in Tanzania.
  • Advising a leading international facilities management company on its corporate, regulatory, local content and joint venture arrangements with respect to the Tilenga project being developed by Total E & P Uganda BV.
  • Advised Advance Global Capital on its proposed US$ 4,000,000 revolving credit facility to a leading receivable finance company in Uganda.
  • Currently advising the World Bank through its Long Term Finance Division on the tax and regulatory regime for the establishment of an infrastructure debt fund for local institutional investors to finance infrastructure projects.
  • Advised the Islamic Development Bank on the entire regulatory regime for the issuance of sovereign debt issuances by the Government of Uganda.
  • Currently advising a leading international bank on a EUR258 Million EKN (Swedish Export Credit Agency) supported term loan facility and a tied commercial term loan facility to the Government of Uganda through the Ministry of Finance, Planning and Economic Development.
  • Advising a project sponsor on the development of a 100MW geothermal project in Uganda.
  • Advised a project sponsor on the development of a 7MW mini – hydro power project in Uganda.
