Arnold is a Partner in the corporate and projects team at Engoru Mutebi Advocates. He has previously worked at an international law firm in the United Kingdom. Arnold is a UK trained lawyer having obtained a Bachelors of Laws Degree (LLB) (Hons) from the University of Hull, United Kingdom, and a Masters of Law (International Economic Law) from the University of Warwick, United Kingdom. He is also qualified to practice law in Uganda and holds a Post Graduate Diploma in legal practice from the Law Development Centre.

Arnold advices clients on various corporate commercial transactions and his work involves advising on joint ventures, mergers and acquisitions, loan financing arrangements, capital markets, regulatory and compliance in the telecommunications, agriculture and mining sectors and of business establishment

He also practices in the projects and infrastructure department where has handles the full range of mandates including energy, PPP’s, regulatory and compliance, environmental, capital markets, licensing regimes, project financing amongst others. He has also developed expertise in Competition law and is regularly consulted by clients on the same.

Recent Experience

  • Currently advising Platinum Equity on the Ugandan aspects of its US 2.1BN acquisition of “LifeScan”, a leader in blood glucose monitoring products from, Johnson & Johnson’s.
  • Currently advising a leading international bank on a EUR258 Million EKN (Swedish Export Credit Agency) supported term loan facility and a tied commercial term loan facility to the Government of Uganda through the Ministry of Finance, Planning and Economic Development.
  • Advised Schlumberger Oilfield Eastern on the contractual and liability issues with respect to joint venture operations in Uganda and South Sudan.
  • Advised Distribution Now Inc. “DNOW” on the regulatory, licensing, corporate, tax and local content requirements with respect to its proposed market entry and participation in the Tilenga project being operated by Total E & P Uganda BV.
  • Advised the World Bank through its Long Term Finance Division on the tax and regulatory regime for the establishment of an infrastructure debt fund for local institutional investors to finance infrastructure projects.
  • Recently advised Dyer and Blair Investment Bank Limited, on the proposed sale and transfer of its retail business to another licensed brokerage firm in Uganda.
  • Currently advising Info Capital Group, a leading payment aggregator services provider based in Europe on the legal and regulatory aspects pertinent to agency banking via POS, Card and USSD Codes, merchant proximity payments, and bulk payments in Uganda.
  • Part of the team that advised Lagan Civil Works on the proposed project financing aspects related to the upgrading of a major road to Bitumen standard on a Contractor Facilitated Financing (CFF) mechanism in a deal amounting to approximately USD 144,000,000.
  • Currently advising the Uganda Securities Exchange on its proposed set up of a Small Medium Enterprise (“SME”) focused Fund.
  • Advising FACTS East Africa BV on its corporate restructuring by way of share capital increase and subsequent allotment; debt – equity conversions and advice on the tax efficiency and optimization
